THIS TERMS OF SERVICE AGREEMENT (“Agreement”) is made between Bancy Solutions (“Seller”) and the purchasing entity (“Buyer”). By issuing a Purchase Order, making a deposit payment, or accepting a Proforma Invoice, the Buyer explicitly acknowledges and agrees to be bound by the terms and conditions set forth herein.

1. Product Specifications & Manufacturing Standards

Technical Note: Our products are fabricated from flexible technical textiles (PVC/TPU) and do not possess the rigid dimensional precision of steel or hard plastic containers.

a. Manufacturing Tolerances

Buyer accepts the following standard industry tolerances:

  • Assembled Dimensions (L/W/H): A tolerance of +/- 3% on all finished dimensions is acceptable due to material thermal expansion/contraction.
  • Material Thickness: Raw material thickness is subject to a supplier tolerance of +/- 0.05mm.

b. Drawings & Final Acceptance

  • Production is executed strictly based on the “Simple Drawing” provided by Seller.
  • Seller does not provide proprietary CAD files or 3D models.
  • Buyer’s confirmation of the Simple Drawing constitutes final technical acceptance.

c. Visual Disclaimer

Product images on invoices or websites are for reference only. Actual colors and accessory configurations may vary based on raw material batches. Such variations are not defects.

2. Orders, Payment & Cancellation

2.1 Contract Formation. A contract is formed only when the Seller issues a Proforma Invoice (PI) and receives the agreed deposit.

2.2 Non-Cancellable. All products are “Made-to-Order.” Once production materials have been cut, the order is NON-CANCELLABLE AND NON-REFUNDABLE.

3. Warranty Policy

a. Scope of Warranty

Seller warrants that the product will be free from functional defects in seam welding (leakage caused by seam failure) for a period of 12 months from the date of shipment.

b. Double-Layer Technology Disclaimer

For products utilizing Double-Layer Welding technology, the warranty covers liquid retention integrity only. Cosmetic imperfections, such as peeling or bubbling of the outer reinforcement layer, are EXCLUDED from coverage provided the inner liner remains watertight.

c. Sole Remedy

In the event of a valid warranty claim, Seller’s sole obligation is to provide repair materials or a replacement component. SELLER IS NOT RESPONSIBLE FOR LABOR COSTS associated with removal, repair, or disposal.

4. LIMITATION OF LIABILITY

CRITICAL: WAIVER OF CONSEQUENTIAL DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANCY SOLUTIONS SHALL NOT BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES. BUYER EXPLICITLY WAIVES ANY CLAIM FOR:

  1. LOSS OF BIOLOGICAL ASSETS (FISH, SHRIMP, ETC.);
  2. ENVIRONMENTAL CLEANUP OR SOIL REMEDIATION COSTS;
  3. DAMAGE TO SURROUNDING PROPERTY OR INFRASTRUCTURE;
  4. LOSS OF CONTENTS (WATER, FUEL, CHEMICALS);
  5. BUSINESS INTERRUPTION OR LOST PROFITS.

SELLER’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE ORIGINAL PURCHASE PRICE OF THE SPECIFIC DEFECTIVE ITEM.

5. Installation & Buyer Obligations

The Warranty is void if the Buyer fails to adhere to the following:

  • Site Preparation: Ground must be level and free of sharp objects.
  • Ground Cloth: A protective geotextile MUST be installed under the tank.
  • Compatibility: Buyer assumes all risk for chemical compatibility of stored liquids.

6. Force Majeure

Seller shall not be liable for delays caused by acts of God, war, customs delays, or material shortages beyond reasonable control.

7. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of The People’s Republic of China. Any dispute shall be submitted to the exclusive jurisdiction of the People’s Court in Chongqing, China.
